General Terms and Conditions
00.Identification and Ownership
In accordance with Article 10 of Law 34/2002 of 11 July on Information Society Services and Electronic Commerce (LSSI-CE), the identifying details of the service provider are disclosed below. Exacte Piercing S.L.U., with Tax Identification Number (NIF) B26598367, is a company incorporated under Spanish law, with registered address at CL. SINDICAT AGRICOLA, 29 CA, 25200 CERVERA (LLEIDA), Spain.
01.Professional Accreditation
Access to and use of this B2B platform implies an express declaration that the user acts as a professional, trader or legal entity. Exacte Piercing reserves the right to request documentation, verify, validate, suspend or revoke B2B credentials at any time prior to, or after, order confirmation, in order to ensure compliance with professional supply requirements.
02.Pricing Policy
All prices displayed on the platform are professional net prices, expressed in euros and excluding Value Added Tax (VAT) or any other applicable indirect taxes. Prices may be modified due to variations in raw material costs, production processes, logistics or market conditions. Such modifications shall not affect orders that have already been expressly confirmed by Exacte Piercing.
03.Shipping and Risk Transfer
Unless expressly agreed otherwise in writing, the risk of loss or damage to the goods shall pass to the buyer at the moment the products are handed over to the logistics carrier. Dispatch and delivery times are indicative and do not constitute a contractual obligation, unless an express agreement has been reached between the parties.
04.Warranty and Liability
Exacte Piercing provides a twelve (12) month warranty exclusively covering manufacturing or material defects. This warranty does not cover damage resulting from improper use, incorrect handling, unauthorized modifications, sterilization processes carried out outside the recommended technical parameters, or normal wear and tear derived from professional use.
05.Electronic Contracting Process
The contracting process is carried out entirely by electronic means through the professional platform of Exacte Piercing. The user must select the products, review the order summary and confirm the transaction using the available technical means. Prior to final confirmation, the system allows the identification and correction of any data entry errors. Order confirmation implies full acceptance of these terms and conditions. Once the order is placed, Exacte Piercing will send an electronic confirmation, which shall not constitute final acceptance until internal validation has been completed.
06.Taxation and VAT
All prices are stated in euros and exclude Value Added Tax (VAT) or other applicable taxes. VAT shall be applied in accordance with current Spanish and European tax regulations, depending on the buyer’s place of establishment and tax status. In the case of intra-Community transactions, the applicable VAT regime shall be applied following verification of the buyer’s VAT number through the VIES system.
07.Limitation of Liability
Except in cases of wilful misconduct or gross negligence, the total liability of Exacte Piercing arising from the contractual relationship shall be limited, in any event, to the total amount actually paid by the customer for the order giving rise to the claim. Under no circumstances shall Exacte Piercing be liable for indirect damages, loss of profit, loss of business, interruption of activity or any consequential damages.
08.Applicable Law and Jurisdiction
These terms and conditions shall be governed by and interpreted in accordance with Spanish law. For the resolution of any dispute arising from access to, use of or contracting through this website, the parties expressly submit to the jurisdiction of the Courts and Tribunals of Lleida (Spain), waiving any other jurisdiction that may correspond to them.
09.Data Protection
Personal data provided during the contracting process shall be processed in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation - GDPR) and Organic Law 3/2018 on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD).
